Terms of Service
Terms and conditions for using our website and services.
Effective from: December 2025
1. Definitions
The following terms shall have the following meanings:
- "The Digital Employee" means Purple Ohm Ltd (trading as The Digital Employee), a company registered in England and Wales (Company No: 11643197)
- "Client" means the person, company, or organisation that has engaged The Digital Employee to supply services
- "Services" means the AI readiness audits, consulting, PULSE Framework delivery, and related services provided by The Digital Employee
- "Booking Date" means the date when The Digital Employee has agreed to supply the services and the price is confirmed
- "Intellectual Property" includes all assessment methodologies, PULSE Framework materials, reports, recommendations, and confidential information supplied by The Digital Employee
2. Agreement to Terms
By accessing or using The Digital Employee website and services, you agree to be bound by these Terms of Service. The Client agrees that these Terms and Conditions constitute all provisions relating to the Services. No other terms shall be accepted unless otherwise agreed by The Digital Employee in writing.
3. Services
The Digital Employee provides AI readiness assessments, consulting services, and transformation support through our PULSE Framework. Our services include:
- PULSE Diagnostic AI Readiness Audits
- AI transformation consulting and implementation support
- Training and enablement services
- Ongoing support and optimisation
Service specifications, timelines, and deliverables will be confirmed in your service agreement. The Digital Employee reserves the right to make reasonable changes to service delivery methods without affecting the core deliverables.
4. Client Responsibilities
When using our services, you agree to:
- Provide accurate and complete information
- Ensure appropriate participants complete assessments honestly
- Use our services for lawful purposes only
- Not interfere with the proper functioning of our systems
- Respect intellectual property rights
- Provide timely feedback and approvals where required
5. Pricing and VAT
All prices quoted are in GBP (£) and exclusive of Value Added Tax (VAT), which will be charged at the prevailing rate where applicable. We reserve the right to modify pricing with reasonable notice for future bookings.
6. Payment Terms
For AI Readiness Audits, payment is required at the time of booking via our secure payment processor (Stripe). For larger consulting engagements, payment terms will be specified in your service agreement, typically:
- 50% deposit upon confirmation
- Remaining balance upon delivery of final report/deliverables
The Digital Employee reserves the right to charge interest at 2% per month on overdue payments.
7. Cancellation and Refunds
The Client may cancel a booking by notifying The Digital Employee in writing (email is acceptable). Cancellation fees apply as follows:
AI Readiness Audits:
- Before assessment links distributed: Full refund
- After assessment links distributed but before completion: 50% refund
- After assessments completed: No refund (report will be delivered)
Consulting Engagements:
- More than 7 working days notice: Full refund of any unused portion
- 3-7 working days notice: 50% of remaining contract value
- Less than 3 working days notice: 100% of remaining contract value
The Digital Employee reserves the right to cancel or reschedule services with as much notice as reasonably practicable. In such cases, the Client will receive a full refund or the option to reschedule.
8. Intellectual Property
All content, methodologies, and materials developed by The Digital Employee, including but not limited to the PULSE Framework, assessment tools, report templates, and training materials, remain the exclusive property of The Digital Employee and are protected by copyright and other intellectual property laws.
Reports and recommendations generated for you are licensed for your internal use only. You may not:
- Reproduce or redistribute our materials without written consent
- Use our methodologies to provide competing services
- Remove or alter any copyright notices
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes:
- Assessment responses and organisational data
- Strategic plans and business information
- Report contents and recommendations
- Pricing and commercial terms
Confidential information will not be disclosed to third parties without consent, except where required by law. Confidentiality agreements can be provided upon request.
10. Limitation of Liability
The Digital Employee's total liability for any loss or damage shall not exceed the price paid for the Services, except in cases of personal injury or death caused by our negligence.
The Digital Employee shall not be liable for any indirect or consequential loss, including but not limited to:
- Loss of profits or revenue
- Loss of business or contracts
- Loss of anticipated savings
- Loss of data
- Loss of goodwill
Our assessments and recommendations are based on information provided and represent our professional opinion. Implementation decisions remain your responsibility.
11. Force Majeure
The Digital Employee shall not be responsible for failure to perform due to causes beyond reasonable control, including but not limited to: acts of God, pandemic, fire, flood, government action, war, civil unrest, or failure of third-party services.
12. Non-Solicitation
During the engagement and for 12 months thereafter, the Client shall not directly or indirectly solicit for employment any employees or contractors of The Digital Employee who have been involved in providing the Services.
13. Regulatory Compliance
Both parties agree to comply with all applicable laws and regulations, including:
- UK Data Protection Act 2018 and UK GDPR
- Bribery Act 2010
- Modern Slavery Act 2015
- Equality Act 2010
14. Governing Law
These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be notified by posting the updated terms on this page with a new effective date. Continued use of our services after changes constitutes acceptance of the new terms.
